Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Growth Labs ("Company," "we," "us," or "our") concerning your access to and use of the growthlabs.io website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto.

By accessing our services, engaging us for iOS app development or SEO services, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access our services.

Our Services

Growth Labs provides the following services:

  • iOS App Development: Custom mobile application development for iOS platform
  • SEO Services: Search engine optimization and digital marketing services
  • Consulting: Digital growth strategy and technical consulting
  • Maintenance and Support: Ongoing support for developed applications and SEO campaigns

iOS App Development Terms

Scope of Work

For each iOS app development project, we will provide:

  • Detailed project proposal outlining deliverables, timelines, and costs
  • Development milestones and acceptance criteria
  • Testing and quality assurance procedures
  • App Store submission assistance (Apple Developer account required)

Client Responsibilities

As our client, you agree to:

  • Provide timely feedback and approvals at each project milestone
  • Supply all necessary content, assets, and access credentials
  • Maintain active Apple Developer account for app submission
  • Ensure all provided content complies with Apple's App Store Guidelines
  • Make timely payments according to the agreed schedule

Development Process

  • Planning Phase: Requirements gathering, wireframing, and technical architecture
  • Design Phase: UI/UX design with client approval before development
  • Development Phase: Agile development with regular progress updates
  • Testing Phase: Comprehensive testing including unit, integration, and user acceptance testing
  • Deployment Phase: App Store submission and launch support

Warranties

We warrant that:

  • The delivered app will substantially conform to the agreed specifications
  • The app will be free from material defects for 90 days post-launch
  • We will fix any bugs identified during the warranty period at no additional cost
  • The code will be original and will not infringe on third-party rights

SEO Service Terms

Service Scope

Our SEO services may include:

  • Website technical SEO audit and optimization
  • Keyword research and strategy development
  • Content optimization and creation recommendations
  • Link building and outreach campaigns
  • Local SEO optimization
  • Monthly reporting and performance tracking

Performance Disclaimer

While we employ industry best practices and proven strategies, we cannot guarantee specific rankings, traffic levels, or business outcomes due to factors beyond our control, including:

  • Search engine algorithm changes
  • Competitor activities
  • Market conditions
  • Website technical limitations
  • Budget constraints

SEO Best Practices

We commit to:

  • Using only white-hat SEO techniques approved by search engines
  • Following Google's Webmaster Guidelines
  • Providing transparent reporting of all activities
  • Never engaging in practices that could result in search engine penalties

Intellectual Property Rights

Client Materials

You retain all rights to materials you provide to us, including:

  • Business information and trade secrets
  • Logos, trademarks, and branding materials
  • Content and copy
  • Proprietary data and information

Deliverables

Upon full payment, you will own:

  • All custom code developed specifically for your project
  • Design assets created for your project
  • Documentation and specifications
  • SEO strategies and reports created for your business

Growth Labs Property

We retain ownership of:

  • Pre-existing code libraries and frameworks
  • General methodologies and processes
  • Generic templates and tools
  • Know-how and expertise

License Grant

We grant you a perpetual, worldwide, non-exclusive license to use any of our pre-existing materials incorporated into your deliverables.

Payment Terms

iOS App Development

  • Deposit: 30% of project cost due upon contract signing
  • Milestone Payments: Payments due upon completion of agreed milestones
  • Final Payment: Remaining balance due before App Store submission
  • Additional Work: Hourly rate for work outside original scope

SEO Services

  • Monthly Retainer: Due at the beginning of each month
  • Setup Fee: One-time fee for initial audit and strategy (if applicable)
  • Contract Term: Minimum 6-month commitment for optimal results
  • Cancellation: 30-day written notice required

Payment Methods

We accept payment via:

  • Bank wire transfer
  • ACH transfer
  • Credit card (3% processing fee applies)
  • Check (US banks only)

Late Payments

Invoices not paid within 30 days will incur a 1.5% monthly late fee. We reserve the right to suspend services for accounts more than 60 days overdue.

Confidentiality

Both parties agree to:

  • Keep all confidential information strictly confidential
  • Use confidential information only for the purposes of the engagement
  • Not disclose confidential information to third parties without written consent
  • Return or destroy confidential information upon request

This obligation survives termination of our engagement for a period of 5 years.

Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the amount paid by you for the specific service
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • We shall not be liable for any loss of profits, revenue, data, or business opportunities
  • These limitations apply regardless of the legal theory on which the claim is based

Indemnification

You agree to indemnify, defend, and hold harmless Growth Labs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to:

  • Your violation of these Terms
  • Your use of our services
  • Content or materials you provide
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations

Termination

Termination by Either Party

Either party may terminate the engagement:

  • For convenience with 30 days written notice
  • Immediately for material breach that remains uncured after 10 days notice
  • Immediately if the other party becomes insolvent or bankrupt

Effect of Termination

Upon termination:

  • You shall pay for all work completed up to the termination date
  • We will deliver all completed work and work-in-progress
  • Both parties will return or destroy confidential information
  • License grants and warranties for completed work shall survive

General Provisions

Governing Law

These Terms shall be governed by and construed in accordance with the laws of California, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

  1. Good faith negotiations between the parties
  2. If negotiations fail, binding arbitration in San Francisco, California
  3. The prevailing party shall be entitled to recover reasonable attorney's fees

Entire Agreement

These Terms, together with any signed project agreements, constitute the entire agreement between the parties and supersede all prior agreements and understandings.

Amendments

We reserve the right to update these Terms at any time. For active projects, changes will only apply to new engagements unless both parties agree in writing.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
